Terms of use

Last updated

These terms are an agreement between you and Technicus Infotech LLP, which owns and operates CollabVilla (“CollabVilla”, “we”, “us”). They apply to the CollabVilla website, creator app and brand portal (together, the “Platform”). By creating an account or using the Platform you accept these terms, our Privacy Policy and our Refund Policy. If you do not accept them, please do not use the Platform.

1. What CollabVilla does

CollabVilla is a marketplace where businesses (“Brands”) post paid content campaigns and social media creators (“Creators”) request to join them, deliver content, and get paid. We provide the tools: briefs, matching, messaging, submissions and revisions, holding campaign funds, releasing payments, invoicing and dispute resolution. We are not an agency, and we are not a party to the creative work itself. The agreement for each collab is between the Brand and the Creator, on the terms of the campaign brief and these terms.

2. Who can use it

  • You must be at least 18 years old and able to enter into a binding contract under Indian law.
  • If you sign up on behalf of a business, you confirm that you are authorised to bind that business.
  • The Platform is meant for use in India. Payouts are made only to Indian bank accounts.
  • One person or business, one account. We may refuse or close accounts that are fake, duplicate or that break these terms.

3. Your account

You are responsible for everything done through your account. Keep your login, OTPs and password private, and tell us straight away at [email protected] if you think someone else has accessed your account. The information you give us, including social media handles, follower numbers and business details, must be true and kept up to date.

4. How campaigns work

  1. The Brand writes a brief covering the deliverables, deadlines, content requirements, usage rights and the fee for each creator slot.
  2. The Brand funds the campaign. The full campaign amount, together with our fee and applicable GST, is paid in before any Creator is invited. Once the payment is confirmed, the order is confirmed.
  3. Creators request to join, or accept an invitation, and propose a fee. A collab begins only when both sides accept, and the net amount the Creator will receive is shown before they accept.
  4. The Creator delivers in the app by the agreed deadline, including the live post link where the brief requires one.
  5. Two revisions. The Brand may request up to two revisions per deliverable, in writing, on the submission itself. Revision requests must stay within the original brief.
  6. Approval releases payment. When the Brand approves a deliverable, that Creator’s share is released from the campaign funds. If the Brand does not respond within the review window shown in the app, the submission may be escalated to us for a decision.

5. Fees, taxes and payouts

  • Platform fee. We charge a platform fee on the agreed collab amount. The applicable fee is shown before a Brand funds a campaign and before a Creator accepts an offer.
  • GST. GST applies to amounts as required by law. Brands receive GST invoices for the amount funded and for our fee.
  • TDS. We deduct tax at source from Creator payouts where the law requires it and issue TDS certificates to Creators who have added their PAN.
  • Payouts. Approved earnings are paid to the Creator’s verified bank account instantly, as soon as the Brand approves the work. Bank holidays or checks by our payment partners can occasionally delay a payout.
  • No side deals. Brands and Creators who meet through the Platform must keep payment for those collabs on the Platform. Taking a collab off-platform to avoid our fee may lead to suspension of both accounts.

6. Disputes between Brands and Creators

If a collab cannot be settled through the two revisions, either side can raise a dispute in the app. Our team will review the written brief, the submissions and the campaign thread, and decide whether the amount for that deliverable is released to the Creator, kept as campaign credit for the Brand, or split. Both sides agree to provide the information we ask for and to accept our decision on how funds held on the Platform are dealt with. This does not take away any other legal remedy either side has against the other.

7. Content and usage rights

  • The Creator owns the content they create unless the brief says otherwise.
  • When a deliverable is approved and paid for, the Creator grants the Brand the licence to use that content set out in the campaign brief (for example the platforms, duration and whether paid promotion is allowed). Any use beyond the brief needs the Creator’s separate agreement.
  • Creators confirm that their content is original, that they have the rights to any music, footage, images and people that appear in it, and that it does not infringe anyone else’s rights.
  • You allow us to display content and campaign material on the Platform as needed to run it. We will ask before using it in our own marketing.

8. Advertising rules and conduct

Everyone using the Platform must follow applicable law, including the Advertising Standards Council of India (ASCI) guidelines for influencer advertising and the Consumer Protection Act, 2019. In particular:

  • Creators must clearly disclose paid collaborations (for example with “#ad” or the platform’s paid partnership label) in the way the law and the ASCI guidelines require.
  • Brands are responsible for the accuracy of claims about their own products and must not ask Creators to make false, misleading or unsubstantiated claims.
  • No one may post or request content that is unlawful, defamatory, obscene, hateful, harmful to minors, or that infringes intellectual property.
  • No one may harass other users, impersonate anyone, use bots or fake engagement, scrape the Platform, or try to break its security.

We may remove content, pause campaigns or suspend accounts that break these rules.

9. Suspension and closing your account

You can close your account at any time from the app or through our account deletion page, once your active collabs, pending payouts and disputes are settled. We may suspend or close an account, with notice where reasonable, if it breaks these terms, if we are required to by law, or to protect other users. Funds that are owed to you at that point will be dealt with in line with these terms and the law.

10. Our responsibility

  • We work hard to keep the Platform available and accurate, but it is provided “as is” and may sometimes be interrupted for maintenance or reasons outside our control.
  • We do not guarantee the results of any campaign, such as reach, engagement or sales, and we do not guarantee that a Creator’s audience figures are accurate. Brands should use their own judgement when choosing Creators.
  • To the extent permitted by law, we are not liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill. Our total liability to you for any claim relating to the Platform is limited to the platform fees you paid us in the three months before the claim arose.
  • Nothing in these terms limits liability that cannot be limited under Indian law.

11. Indemnity

You agree to compensate Technicus Infotech LLP for losses, claims and costs (including reasonable legal fees) arising from your breach of these terms, your content, or your violation of any law or third-party right.

12. Changes to these terms

We may update these terms from time to time. We will post the new version here with a new “last updated” date and tell you in the app or by email about significant changes. If you keep using the Platform after the changes take effect, you accept them.

13. Law and jurisdiction

These terms are governed by the laws of India. The courts at Patna, Bihar have exclusive jurisdiction over any dispute arising out of these terms or the Platform.
